Parasolv Beta End User License Agreement
This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Parasolv LLC ("Company," "We," or "Us") for the use of the Parasolv Beta Software Plugin ("Software"). By installing, copying, or otherwise using the Software, You agree to be bound by the terms of this Agreement.
1. License Grant
1.1 Beta License: Company grants You a non-exclusive, non-transferable, revocable license to use the Software solely for testing and evaluation purposes.
1.2 Restrictions: You may not distribute, sell, lease, rent, sublicense, or transfer the Software or any portion thereof. You may not reverse engineer, decompile, disassemble, or create derivative works of the Software.
2. Beta Software
2.1 Nature of Beta Software: You acknowledge that the Software is a beta version, is not a final product, and may contain bugs, errors, and other problems that could cause system failures or data loss.
2.2 Updates: Company may provide You with updates, patches, or modifications to the Software during the beta testing period, which shall also be subject to the terms of this Agreement.
3. Feedback
3.1 Feedback Provision: You agree to provide feedback to Company regarding the use and performance of the Software, including but not limited to, error reports, suggestions for improvements, and results of testing.
3.2 Feedback Rights: Company shall have the right to use any feedback, suggestions, or recommendations You provide without restriction and without any obligation to You.
4. Ownership
4.1 Proprietary Rights: The Software is licensed, not sold. All rights, title, and interest in and to the Software, including all intellectual property rights, are and shall remain the property of Company.
5. Confidentiality
5.1 Confidential Information: You agree that the Software and any related information, including but not limited to, the existence of the beta testing program and any feedback provided, constitute confidential information of Company.
5.2 Non-Disclosure: You agree not to disclose, publish, or disseminate any confidential information to any third party without prior written consent from Company.
6. Term and Termination
6.1 Term: This Agreement is effective upon Your acceptance and will continue until terminated by either party.
6.2 Termination by You: You may terminate this Agreement at any time by uninstalling and destroying all copies of the Software.
6.3 Termination by Company: Company may terminate this Agreement at any time, with or without cause, upon notice to You.
6.4 Effect of Termination: Upon termination of this Agreement, the license granted herein will terminate, and You must cease all use of the Software and destroy all copies.
7. Disclaimer of Warranties
7.1 As-Is Basis: The Software is provided "AS IS" without warranty of any kind. Company disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
8.1 No Liability for Damages: In no event shall Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenues, even if Company has been advised of the possibility of such damages.
9. Governing Law
9.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Company is headquartered, without regard to its conflict of laws principles.
10. General
10.1 Entire Agreement: This Agreement constitutes the entire agreement between You and Company regarding the Software and supersedes all prior agreements, understandings, or representations.
10.2 Amendments: Company reserves the right to modify this Agreement at any time. Any such modifications will be effective upon posting on Company’s website or notifying You.
10.3 Severability: If any provision of this Agreement is held to be unenforceable, the remaining provisions will continue in full force and effect.
By installing or using the Software, You acknowledge that You have read, understood, and agree to be bound by the terms of this Agreement. If You do not agree to these terms, do not install or use the Software.
